Journable Affiliate Program – Terms & Conditions

These Affiliate Terms and Conditions (“Agreement”) govern your participation in the Journable Affiliate Program (“Program”) offered by Multicoded LLC, a Delaware limited liability company with its principal mailing address at 113 Cherry St PMB 42861, Seattle, WA 98104, United States (“Journable”, “we”, “our”, or “us”). By applying to and participating in the Program, you (“Affiliate”, “you”) agree to be bound by these Terms.

1. Program Overview

Affiliates can earn a commission by referring new users to Journable via their unique referral code. All accepted Affiliates will be provided access to their referral code and regular performance reports.

2. Commission Structure

• You will earn 50% of all subscription revenue generated by users who redeem your referral code, for 24 months following the date of redemption.
• This includes recurring monthly or annual subscriptions, up until the 24-month mark.
• Commissions are calculated based on the gross amount paid by the referred user, exclusive of taxes, chargebacks, and refunds.
• In the event of a refund or chargeback, any previously paid commission on that transaction may be deducted from future payouts.

Examples:

• A user who redeemed your code pays $39.99/year for 15 months = $79.98. You earn $39.99.
• A user who redeemed your code pays $9.99/month for 9 months = $89.91. You earn $44.96.
• A user who redeemed your code pays $9.99/month for 26 months = $259.74. You earn $114.89.

3. Reports & Payments

• You will receive a weekly email report with: redemptions, subscriptions, revenue, and commission earned.
• Commission payments are made monthly on the 15th of the following month. If the 15th falls on a weekend, payment will occur on the next business day.
• Payouts are made via Wise or PayPal, as selected by you.

4. Tracking and Attribution

Affiliate commission is attributed based on successful redemption of your referral code. We are not responsible for missed tracking due to user error, third-party interference, device settings, ad blockers, code-sharing platforms, or technical issues beyond our control. Only the first successfully redeemed referral code per user account will be eligible for commission. Subsequent code uses or account transfers will not reset the 24-month commission period.

5. Program Termination or Modification

Journable reserves the right to modify, suspend, or terminate the Affiliate Program at any time, with or without notice. Commissions earned up to the date of termination will be paid. No further commissions will be earned beyond the termination date.

6. Affiliate Conduct & Restrictions

Prohibited behaviors include:

• Misleading or deceptive marketing
• Bidding on brand keywords (e.g., "Journable")
• Impersonating the brand
• Offering monetary/material incentives for code redemption
• Spamming or unethical tactics

Violation may result in immediate removal from the program and forfeiture of unpaid commissions. Journable reserves the right to withhold or cancel commissions at its sole discretion in the event of suspected fraud, abuse, or violation of these terms. We also reserve the right to audit affiliate activity or request additional documentation to verify the legitimacy of referrals. Failure to cooperate may result in suspension or termination.

7. Affiliate Approval and Tax Compliance

• All applications are manually reviewed.
• For certain jurisdictions, tax forms (e.g., W-8/W-9) may be required before payout. Failure to provide these may delay or prevent payouts.

8. Independent Contractor Status

This Agreement does not create a partnership, agency, or employment relationship. You are an independent contractor.

9. Limitation of Liability

We are not liable for indirect, incidental, or consequential damages. Our total liability is limited to commissions paid to you in the past six months.

10. Governing Law

This Agreement is governed by the laws of the State of Delaware, United States.

11. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
